Terms of service

Last updated: [DATE]. For business customers only; Unbolt DPP is not offered to consumers.

These terms govern the use of Unbolt DPP, provided by [FULL COMPANY NAME] ("Unbolt"), by the company that signs up or signs an order (the "Client").

1. Definitions

  • Platform: the Unbolt DPP software service, including the supplier portal, the dismantling guide generator, passport hosting and QR code resolution.
  • Battery model: one battery design with its own passport template. A design change that needs a new engineer sign-off creates a new battery model.
  • Active battery model: a battery model the Client still produces. Discontinued models move to the archive.
  • Client Content: everything the Client or its suppliers put into the Platform, and everything generated from it.

2. The service

Unbolt provides the Platform as described on its website and in the order. Unbolt may improve and change the Platform, but will not remove a core function the Client is paying for during a contract year.

3. Plans and fees

  1. Free first model. Each Client may use the Platform for one battery model free of charge, with unlimited batteries, self-service onboarding and QR codes on Unbolt's domain. Unbolt may change the free offer for new sign-ups; passports already published stay online.
  2. Paid plans are priced by active battery models, as listed on the pricing page at the time of the order, and include dedicated onboarding and QR codes on the Client's own domain.
  3. Annual contract. Paid plans run for 12 months and are invoiced in full, upfront.
  4. Extra models. Each active battery model beyond the plan costs €720 per year, invoiced pro rata for the rest of the contract year. Where that costs more than the next plan, the Client moves to the next plan.
  5. Prices are in euros and exclude VAT. Unbolt may adjust prices at renewal in line with [INFLATION INDEX], and will announce any other change at least [60] days before renewal.
  6. Late payment. If an invoice is unpaid [30] days after its due date, Unbolt may stop new work and editing after written notice. Published passports stay online.

4. The Client's responsibilities

  1. Legal responsibility. The Client remains the economic operator responsible under Regulation (EU) 2023/1542 for the accuracy, completeness and timeliness of its battery passports. Where Unbolt creates or updates passports, it acts under the Client's written authorisation and instructions.
  2. Accurate inputs. The Client is responsible for the CAD files, parts lists and data it or its suppliers provide, and for having the right to share them.
  3. Review and sign-off. Before a dismantling guide or passport is published, a qualified person named by the Client must review and approve it in the Platform.
  4. Registry. The Client registers passports in the EU registry through its own account. Unbolt prepares the file.
  5. Accounts. The Client keeps login details secure and is responsible for what its users and invited suppliers do in the Platform.

5. Generated content

Dismantling guides are generated from the Client's CAD files and data and reflect what those files contain: parts, fasteners or joints missing from the model may be missing from the draft. The Platform flags gaps it detects, but cannot detect everything. Generated content is a draft until the Client's reviewer approves it.

6. Client Content and data

  1. The Client keeps all rights in Client Content and grants Unbolt the right to process it only as needed to provide the Platform.
  2. Unbolt will not use Client Content for analytics, benchmarking, training AI models or any other purpose.
  3. The Client can export its data at any time in open formats.
  4. Personal data is processed under the data processing agreement, which forms part of these terms.

7. Confidentiality

Each party keeps the other's confidential information secret and uses it only for this contract. CAD files and supplier data are always confidential. This duty continues for [5] years after the contract ends, and for CAD files indefinitely.

8. Availability and continuity

  1. Unbolt aims for [AVAILABILITY TARGET] monthly availability of the Platform and of passport resolution, excluding announced maintenance.
  2. Published passports remain accessible while the contract runs, after it ends under an archive plan, and, if Unbolt stops operating, through [ESCROW ARRANGEMENT].

9. Term and termination

  1. A paid plan renews for further 12-month periods unless either party gives notice at least [60] days before the end of the current period.
  2. Either party may terminate for a material breach not fixed within [30] days of written notice.
  3. After termination, the Client can choose a read-only archive plan at [ARCHIVE PRICE] per battery model per year, or export its data and move to another provider. Unbolt deletes remaining Client Content [90] days after termination, unless an archive plan or the law requires otherwise.

10. Liability

  1. Unbolt's total liability per contract year is limited to the fees the Client paid in that year, and for the free model to [AMOUNT].
  2. Neither party is liable for indirect or consequential loss, including lost profit or regulatory penalties caused by the Client's own data or approvals.
  3. These limits do not apply to liability for intent or gross negligence, for injury to life, body or health, or where the law does not allow limitation.

11. Changes to these terms

Unbolt may change these terms for future contract periods and will notify the Client at least [60] days in advance.

12. Governing law and courts

These terms are governed by the law of [GOVERNING LAW], excluding the UN Convention on Contracts for the International Sale of Goods. The courts of [PLACE] have exclusive jurisdiction.

13. Final provisions

If a provision is invalid, the rest remains in force. The order, the data processing agreement and the passport authorisation take precedence over these terms where they conflict.
